Terms of use & end-user license
DRAFT — have this reviewed. This text has not been reviewed by a lawyer yet and is not in force: the app is used under its software license. The sale of licenses is not open, and items marked TODO(founder) must be completed before the first sale. Where it conflicts with mandatory consumer law, the law wins. A French translation is available (version française); the English text prevails.
1. Who we are and what this covers
Interact Savescreen (the “Software”) is published by Optexia (“we”), whose legal name, address and registration details are in its legal notice: optexia.com/legal. Contact: [email protected]. These terms apply to every version of the Software — web, installable web app and desktop app — and to the founder license sold for it. By installing or using the Software you accept them; if you do not, do not use it.
2. The free tier and the beta
- Anyone may download, install and use the Software free of charge, for personal or professional purposes, including every widget of the free tier.
- During the beta (“early access”), license enforcement is off: every widget, including the ones marked Pro, is free to use. When sales open, Pro widgets will require a license; Pro widgets you have already placed on a board before that day remain usable.
- The beta is provided as-is, may contain bugs and may change. Keep backups of what matters to you (Settings → Backup).
- The beta program. Beta testers who signed up on this website receive the beta builds by email, for the platform they chose (macOS first; Windows and Linux once their builds are tested). Joining is free and creates no obligation: you may leave at any time with the unsubscribe link of our emails. Please do not redistribute the beta builds. What we do with your sign-up is in the privacy policy.
3. The license we grant you
The Software is licensed, not sold. Subject to these terms, we grant you a personal, non-exclusive, non-transferable, worldwide license to install and use the Software, and — if you hold a valid license key — its Pro features.
You may not, except where mandatory law expressly allows it:
- copy the Software other than to install it and keep backups, or modify, adapt, translate or create derivative works of it;
- decompile, disassemble or reverse-engineer it;
- sell, rent, lend, sublicense, publish or redistribute it or its source code (access to the source code, e.g. to a private repository, grants no additional right);
- share, publish or resell a license key, or circumvent the license checks;
- remove proprietary notices, or use the Software to break the law or the terms of the services you connect it to.
Third-party components bundled with the Software are licensed under their own (open-source) terms, listed in the app under Settings → About → Third-party notices. AI models are downloaded only on your request, and their license is shown before any download.
4. The founder lifetime license
- What it is. A one-time payment of €49 (taxes as shown at checkout) for a numbered founder seat — at most 200 seats in total — that unlocks every Pro feature. No subscription. An order paid once the 200 seats are taken (for example two buyers paying for the last seat at the same moment) gets no key: we refund it in full, with the same payment method, within 14 days.
- Two computers. One license is for one person. You may activate it on up to two computers you own or control (for example a desktop and a laptop, or a laptop and a wall display). Moving it to a new computer is fine: stop using it on one of the two first. Teams buy one license per person.
- Lifetime and updates. “Lifetime” means for as long as you use the Software, not for as long as we sell it. Every update we publish for the Software is included, at no extra cost, for as long as we develop it. The license key is verified offline: if we ever stop developing the Software, the last version you installed keeps working, with its Pro features, without any server of ours.
- What it does not include. A future hosted service (for example sync between devices) would be a separate, optional offer; the license covers the Software itself. It does not include a personal support contract: we answer questions on a best-effort basis.
- Keys. Your key is personal. A key that has been published or resold may be revoked. A revoked key stops unlocking the Pro features in the versions released after the revocation; the versions released before it keep working with that key — nothing is switched off remotely, since the Software never contacts us to check a key. An update does bring the revocation with it: where the desktop app can update itself, it installs published updates automatically (it checks every 6 hours and installs when you quit, unless you turned the checks off), and the web app loads the latest version when you reload it. If your own key leaked, we can issue you a replacement key for the same seat, and we aim to send it before the update that revokes the old one.
- Payment. Handled by TODO(founder): checkout provider / merchant of record, and whose terms govern the sale.
- Delivery of your key. Keys are not generated automatically: we issue each key by hand and send it to the email address you gave at checkout. If you gave the consent and acknowledgement of section 5 at checkout, you receive it within 24 hours on business days (Monday to Friday, UTC) after your payment is confirmed — so a payment made on a Friday evening or a weekend is answered on the next business day. Otherwise, we send it only once the 14-day withdrawal period is over wherever you are: as the day of payment does not count and we do not know your time zone, we treat the period as over 15 days and 1 hour after your payment, and you receive the key within 24 hours on business days after that moment. TODO(founder): confirm these delays and the public holidays they count, and state the same delays on the checkout page. If your key has not arrived within that time, check your spam folder, then write to [email protected]. Until your key is delivered you have not received the digital content; your right of withdrawal is set out in section 5.
5. Right of withdrawal (EU and UK consumers)
If you are a consumer in the European Union or the United Kingdom, you normally have 14 days to withdraw from a purchase made online, without giving a reason.
The founder license is digital content (your license key), supplied when we send you the key, not at the moment of payment. At checkout we therefore ask for your explicit consent to receive it before the withdrawal period ends and your acknowledgement that you lose your right of withdrawal once the key has been delivered (Article 16(m) of Directive 2011/83/EU and its national transpositions).
- With your consent and acknowledgement, we send the key within the delay of section 4, and you keep your right of withdrawal until the key has been delivered.
- Without that consent and acknowledgement, we do not deliver the key before the 14 days have passed, and you keep your right of withdrawal for the whole period.
To use it, tell us within 14 days of your purchase, and before your key has been delivered if you gave that consent (a simple email to [email protected] is enough, or the EU model withdrawal form), and we refund you within 14 days with the same payment method. A withdrawal is refunded in full; a full refund, whatever its reason, ends your founder license (a key already delivered is revoked). A partial refund — for example a tax correction or a commercial gesture — is not a withdrawal: your license stands. TODO(founder): have the checkout collect this consent and acknowledgement, and confirm them in the email that carries the key; until it does, every order follows the second case (key sent after the 14 days).
TODO(founder): decide whether to also offer a voluntary refund window (e.g. 14 days, no questions asked) on top of the legal rules, and state it here and at checkout.
This does not affect your legal guarantee of conformity for digital content (see section 7), which always applies.
6. Your data and the services you connect
Your boards, widget content and settings stay on your device; the privacy policy lists every third party the Software can contact and when. You are responsible for the tokens, calendar links and endpoints you configure, for respecting the terms of the services you connect (GitHub, Asana, feeds, webhooks…), and for backing up your data. We cannot access, recover or restore data stored on your device.
7. Warranty
The free tier and the beta are provided “as is”, without warranty of any kind, to the extent the law allows. For the paid license, you benefit from the legal guarantee of conformity for digital content that the law of your country gives consumers (in the EU, Directive (EU) 2019/770): if the Software does not work as described, tell us and we will fix it within a reasonable time, or, if we cannot, you may obtain a price reduction or a refund. Beyond that legal guarantee, we do not promise that the Software is error-free, uninterrupted or suited to a particular purpose, nor that third-party services it connects to remain available.
8. Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential damage (lost profits, lost data, business interruption), nor for the behaviour of third-party services you connect. Our total liability for any claim relating to the Software is limited to the amount you paid for it in the twelve months before the claim (zero for the free tier and the beta).
Nothing in these terms limits liability that cannot be limited by law — in particular for death or personal injury caused by negligence, for fraud or gross negligence, or the mandatory rights of consumers.
9. Ending the license
You may stop using the Software at any time and uninstall it. If you seriously breach these terms (for example by reselling or publishing license keys), we may terminate your license after telling you by email; sections 7 to 10 survive termination.
10. Changes, law and disputes
- We may update these terms for future versions; the version in force when you bought your license keeps governing what that license includes (two computers, lifetime updates as described above). We never reduce it retroactively.
- These terms are governed by French law, without depriving consumers of the protection of the mandatory rules of their country of residence.
- Before any dispute, write to us — most problems are solved by email. EU consumers may also use a consumer mediator: TODO(founder): name and contact of the consumer mediator (mandatory in France).
